These Terms of Service (“Terms”) govern your access to and use of www.shadeotech.com, our customer dashboard, and related online services (collectively, the “Services”) provided by ShadeoTech Inc. (“ShadeoTech,” “we,” “us,” or “our”). Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

1. About the Services

ShadeoTech Inc. is a window treatment manufacturer and installer. The Services let you learn about our products, request consultations, book appointments, communicate with us, and — through our customer dashboard — create an account and view and track the status and progression of your order. These Terms cover your use of the website and dashboard; they do not replace any separate written service or sales agreement you sign with us (see Section 6).

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you are 18 or older and that the information you provide is accurate and complete.

3. Accounts and Customer Dashboard

To access certain features, you may need to create an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to provide accurate information, keep it current, and notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

4. Third-Party Login

If you choose to access your account using a third-party login service (for example, “Log in with Facebook”), you authorize us to receive certain information from that provider, as described in our Privacy Policy. Your use of the third-party login service is also subject to that provider’s own terms and privacy policy. We are not responsible for the practices of third-party login providers, and we may add, change, or discontinue third-party login options at any time.

5. SMS and Electronic Communications

By providing your contact information, you consent to receive communications from us electronically, including by email and SMS, as described in our Privacy Policy. SMS messages relate to appointment scheduling, reminders, order updates, and service notifications; message frequency varies, message and data rates may apply, and you may opt out by replying STOP or get help by replying HELP.

6. Quotes, Orders, Pricing, and Payment

Information on the Services, including product descriptions and pricing, is provided for general purposes and may change without notice. Submitting a request or inquiry does not create a binding order. A binding order is formed only when set out in a written quote or service agreement that you and ShadeoTech execute, and any such signed agreement governs the specific terms of your product, manufacturing, installation, pricing, deposits, warranties, cancellations, and refunds. In the event of a conflict between these Terms and a signed service agreement regarding your order, the signed service agreement controls.

Because many of our products are custom-manufactured to your specifications, they may not be eligible for cancellation, return, or refund once production begins, except as stated in your signed agreement or as required by law. Payments are processed by third-party payment processors, and you agree to their applicable terms.

7. Acceptable Use

When using the Services, you agree not to:

• Use the Services for any unlawful, fraudulent, or unauthorized purpose;
• Access or attempt to access accounts, data, or systems that are not yours;
• Interfere with, disrupt, or attempt to compromise the security or integrity of the Services;
• Upload or transmit viruses, malware, or other harmful code;
• Scrape, copy, or harvest data from the Services without our written permission; or
• Use the Services in any way that infringes the rights of others or violates applicable law.

8. Intellectual Property

The Services and their content — including text, graphics, logos, software, designs, product imagery, and the ShadeoTech name and marks — are owned by ShadeoTech or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes. You may not copy, modify, distribute, reproduce, or create derivative works from any part of the Services without our prior written consent.

9. Third-Party Services and Links

The Services may integrate with or link to third-party websites, platforms, and tools that we do not control. We are not responsible for the content, products, or practices of any third party. Your use of third-party services is at your own risk and subject to their terms.

10. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components. Any warranties relating to your specific products or installation are set out in your signed service agreement and not in these Terms.

11. Limitation of Liability

To the fullest extent permitted by law, ShadeoTech and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to us, if any, for the specific transaction giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless ShadeoTech and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. Changes are effective when we post the revised version on the Site with an updated “Last Updated” date. Your continued use of the Services after an update means you accept the revised Terms.

15. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with our Privacy Policy and any signed service agreement, constitute the entire agreement between you and ShadeoTech regarding the Services.
